01Permitted use
MFDStack is licensed solely for use by mutual fund distribution firms operating in India for the purpose of managing their distribution practice — including lead and client management, onboarding, operations, reviews, reporting, compliance workflows, communications, and related HR functions for the Customer's own personnel.
02Prohibited use
You and your Authorised Users must not:
2.1 Scope of use
- Use MFDStack for any purpose other than managing your own mutual fund distribution practice;
- Use MFDStack for the distribution of products or services other than those for which you are licensed under applicable Indian regulations;
- Resell, sublicense, rent, lease, host, or otherwise make MFDStack available to any third party that has not been authorised by us in writing;
- Use MFDStack on behalf of any individual or entity other than the Customer named on the Order, including hosting another firm's client book within your environment.
2.2 Technical integrity
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of MFDStack;
- Copy, modify, create derivative works of, or otherwise reproduce MFDStack or its components, except as expressly permitted;
- Remove, alter, or obscure any copyright notice, trademark, watermark, or other proprietary marking;
- Circumvent or attempt to circumvent access controls, role-based permissions, tenant isolation, rate limits, billing controls, or any security feature;
- Probe, scan, penetration-test, vulnerability-test, or otherwise test the security of MFDStack without our prior written consent;
- Upload, store, transmit, or otherwise introduce viruses, worms, malware, ransomware, or any other malicious code into MFDStack;
- Place an unreasonable load on the platform through automated scraping, bulk export beyond standard export features, or other excessive automated requests.
2.3 Lawful conduct
- Use MFDStack in violation of the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, SEBI regulations, AMFI guidelines, the Income Tax Act, or any other applicable law;
- Use MFDStack to transmit material that is unlawful, defamatory, obscene, harassing, threatening, abusive, hateful, or that infringes any third party's rights (including intellectual property, privacy, or publicity rights);
- Use MFDStack to facilitate or engage in fraud, mis-selling, money laundering, terrorism financing, or any other illegal activity;
- Misrepresent yourself, your firm, or your relationship with any End-Investor or third party in any way connected with your use of MFDStack.
2.4 Communications and consents
- Use MFDStack's email, WhatsApp, or other messaging features to send unsolicited bulk communications, spam, or any communication in violation of TRAI, DoT, the DLT framework, or other applicable telecom or anti-spam laws;
- Use MFDStack to send communications without the recipient's necessary consent, or in violation of recipient unsubscribe, do-not-call, or opt-out requests;
- Input personal data into MFDStack without having obtained all necessary consents from the relevant data principals as required under applicable law.
2.5 AI features
- Use AI features to generate content intended to deceive End-Investors as to its origin where disclosure is required;
- Use AI features in violation of the terms of our AI sub-processors;
- Input into AI features data that you are not authorised to share with our AI sub-processors under applicable law or contract.
2.6 High-risk and sensitive uses
- Use MFDStack to facilitate any activity where failure or malfunction could lead to personal injury, environmental damage, or other serious consequences;
- Use MFDStack to process personal data of children under 18 years of age, except as part of legitimate KYC of minor folios within MFD operations and subject to the applicable parental or guardian consents.
03Your responsibility for Authorised Users
You are responsible for the actions of all Authorised Users accessing MFDStack under your account. Acts and omissions of your Authorised Users are deemed your acts and omissions for the purposes of this AUP and the Terms.
04Reporting violations
If you become aware of a violation of this AUP, please report it to contact@techvoriacrm.com. For security vulnerabilities, please mark your email "Security" and we will respond as quickly as possible.
05Consequences of breach
We may, at our sole discretion and without prior notice where immediate action is required to protect the platform, our customers, or third parties:
- Suspend access to MFDStack for some or all Authorised Users;
- Remove, quarantine, or restrict access to offending content;
- Terminate the Subscription under Section 8.2 of the Terms;
- Cooperate with law enforcement and regulators;
- Pursue any other remedies available under contract or applicable law.
Where the breach is curable, we will, where practicable, give notice and a reasonable opportunity to cure before taking permanent action.
06Updates to this AUP
We may update this AUP from time to time to reflect changes in our Service, business practices, or applicable law. Material changes will be communicated with at least 30 days' notice. Continued use of MFDStack after the effective date constitutes acceptance of the updated AUP.
